Incorporation process of EuroVegas City Holding Ltd (Cyprus).

Preparation of all necessary documents and legal processes for the launch of the first private round of EVL tokens (legal basis: EU regulation - prospectus exemption up to the limit of EUR 8 million). This offering will be in accordance with Article 3(2) of Regulation (EU) 2017/1129 and is exempt from the obligation to prepare a prospectus, as its total value will not exceed EUR 8 million over a period of 12 months.

The process leading to obtaining a license for the unlimited sale of EVL tokens from the regulator CySEC (Cyprus) already during the launch of the first round, when it will be clear that the EUR 8 million limit from the sale of EVL tokens may be exceeded earlier than in 12 months.
Phase 7:
Launch of the first phase of sale (EVL tokens)

Initial issue with a total value of up to EUR 1 million.

The private offering of these tokens is carried out under the exemption of Article 3(2) of Regulation (EU) 2017/1129 (Prospectus Regulation). Since the total aggregate consideration does not exceed EUR 8,000,000 over a 12-month period, no prospectus has been filed or approved by the Cyprus Securities and Exchange Commission (CySEC).

Investors who purchase EVL tokens may apply for conversion into shares after purchasing these tokens

Delivery of shares to investors and registration of investors according to applicable regulations

Following the successful sale of the first issue, the process of obtaining a license from the Cypriot regulator CySEC in order to sell a larger number of EVL tokens or launch a second issue of EUR 5 million.
Phase 8:
Finding suitable land and subsequent purchase of these lands

After the successful sale of EVL tokens in the total capital from the sale of at least 100 million EUR, we will begin the process of finding suitable land to purchase and begin the process of preparing all necessary activities leading to obtaining a construction permit.
Phase 9:
Launch of the second phase of the sale (EVP tokens)

Launch of EVP token sale to raise capital for the construction of the EuroVegas City complex, including infrastructure and all resorts.

The sale will be divided into issues, each issue will be equal to the cost of building one resort.
Phase 10:
Construction of EuroVegas City

After the successful sale of EVP tokens according to the specified sales issues and obtaining the capital necessary for the construction of the resorts according to the specified stages, the construction of the EuroVegas City complex will follow.
